Refreshi connects stores with surplus food (restaurants, bakeries, cafés, supermarkets, hotels, petrol station forecourts, and similar businesses) to consumers via Surprise Bags listed on the Refreshi app. By registering as a store and accepting these Store Terms, you confirm you are an authorised representative of your business with the authority to accept these terms on its behalf.
You make surplus food available by creating a "Listing" of a Surprise Bag on the platform. A consumer reserves a bag by placing an "Order." The sale is concluded when the consumer collects the bag ("Collection") at your specified location during your set collection window, at which point you hand over the bag after the consumer verifies their order in-app.
You may cancel a Listing or Order up to 30 minutes before the start of your stated collection time. If you find yourself needing to cancel within 30 minutes of collection time regularly, please reduce your scheduled listings accordingly, as repeated late cancellations affect customer trust and may result in your listing capabilities being limited or suspended. Refreshi and consumers may also cancel Orders in line with the User Terms and Conditions.
You set your own Surprise Bag prices within Refreshi's recommended guidance. Refreshi charges a commission on each bag sold through the platform; current rates are provided during onboarding and are available on request from your store success manager. There are no upfront fees, monthly charges, or minimum bag commitments.
Refreshi reconciles sales on a 30-day cycle from the date you join the platform, and pays out the amount owed to you on the 20th day of the month following each reconciliation period, to your nominated bank account. You are responsible for providing accurate and up to date banking details, and for any VAT or other tax obligations arising from amounts paid to you.
You are responsible for complying with all applicable food safety laws and regulations, including the preparation, handling, labelling, and safe storage of any food you list. You must follow Refreshi's Food Safety Guidelines at all times, provide accurate allergen and ingredient information on request, and never list anything other than genuine surplus food on the platform.
If you become aware of a food safety concern affecting food you've listed, you must immediately remove the relevant Listings and notify Refreshi. You agree to cooperate fully with Refreshi's recall process and provide any information reasonably requested to protect consumer safety.
Refreshi may suspend or remove Listings, or limit or suspend your account, if you breach these Store Terms, receive repeated food safety complaints, or engage in conduct that puts consumers or the platform's reputation at risk. You may pause your store at any time with no penalty, and may end your partnership permanently by giving Refreshi 30 days' written notice. There are no exit fees or lock-in periods.
Refreshi is not a party to the sale of food between you and consumers, and does not own or control the contents of any Surprise Bag you list. To the maximum extent permitted by law, Refreshi's liability to you is limited to amounts paid to you in the 12 months preceding any claim.
Refreshi may update these Store Terms from time to time, with notice provided via the platform or MyStore dashboard. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
